Izertis approves share buyback of up to 2.51% of its share capital to strengthen its acquisitions strategy
Technology consultancy Izertis has launched a share buyback programme for a maximum amount of 6.25 million euros and up to 892,000 shares, representing approximately 2.51% of its share capital.
The transaction strengthens the company’s capacity to continue executing its growth strategy through acquisitions and expands its options for meeting future corporate commitments, as reported to the Spanish National Securities Market Commission.
The programme will enable Izertis to use treasury shares to meet share-settled obligations arising from corporate acquisitions
Treasury stock provides an additional means of structuring these transactions and combining different approaches according to the terms and needs of each deal.
From a shareholder perspective, using existing shares to meet certain consideration obligations may reduce the need to issue new capital and, in doing so, limit the potential impact of such transactions on existing shareholders’ ownership stakes.
Financial flexibility
Although growth through acquisitions is the company’s principal strategic approach, the programme provides for four possible uses of treasury shares: to meet share-settled obligations arising from corporate acquisitions; to cancel them through a capital reduction agreement; to meet obligations under option programmes or other share allocations to employees or members of the management or supervisory bodies; and to meet obligations arising from financial instruments convertible into shares.
These purposes broaden Izertis’ options for responding to different corporate needs. The use of the shares will depend on the specific circumstances and on the decisions taken by the company within the terms approved and disclosed to the market.
A greater capacity to tailor the decisions to the needs at any given time
The programme sets maximum limits but does not represent a committed investment.
Izertis is not obliged to acquire all 892,000 shares or to invest the full 6.25 million euros.
Purchases may be made below either limit, or may not take place at all, depending on the needs associated with the intended purposes.
Until 30 June 2027
The programme, approved by the board of directors under the authorisation granted by the ordinary general meeting of shareholders held on 27 June 2025, began on 16 October 2026, and will remain in force until 30 June 2027. However, it may end earlier if its purpose has been fulfilled, the maximum number of shares has been reached, the investment limit has been exhausted, or any other circumstance arises that makes termination advisable.
Transactions will be carried out at market prices and in accordance with the price and volume conditions set out in the buyback programme and applicable regulations. In particular, Izertis may not acquire more than 25% of the average daily trading volume of its shares during the 20 trading days preceding each purchase. Renta 4 Banco will act as the programme manager and will make the purchase decisions independently. To enable its execution, Izertis temporarily suspended its liquidity contract with effect from 16 October 2026.
